RR Donnelley recognizes that the European Union ("EU") has an "omnibus" data protection regime established pursuant to the European Data Protection Directive (95/46/EC) (the "Directive"). EU Business Contact Data and EU Customer Data are collectively referred to as "EU Personal Information. Information regarding RR Donnelley's practices concerning EU Employee Data is provided to affected EU employees through other company policies and procedures. With respect to EU Business Contact Data, RR Donnelley collects, uses, and discloses EU Business Contact Data in the ordinary course of its business. In particular, RR Donnelley may obtain in the US the following types of EU Business Contact Data: name, address, invoice information including bank account information, and order information. RR Donnelley may use such EU Business Contact Data for the following purposes: managing customer relationships, managing orders, tracking payments and ensuring payment, and otherwise maintaining the customer relationship.
RR Donnelley may disclose EU Business Contact Data to its affiliates, subsidiaries, business partners, and service providers for the purposes listed above. In situations where RR Donnelley discloses EU Business Contact Data to any third parties acting as service providers or "agents" on behalf of RR Donnelley, RR Donnelley will require the recipient to protect the disclosed EU Business Contact Data in accordance with the relevant Safe Harbor Principles, or otherwise take steps to ensure that the EU Business Contact Data is appropriately protected. With respect to any sharing of EU Business Contact Data for purposes of marketing RR Donnelley products and services, RR Donnelley obtains promises from its affiliates, subsidiaries and business partners that such entities will use and disclose such EU Business Contact Data for purposes of marketing RR Donnelley products and services only. In certain situations, individuals may seek to opt-out of disclosures of their EU Business Contact Data by contacting RR Donnelley as specified at the end of this Safe Harbor section.
RR Donnelley maintains reasonable security measures to safeguard EU Business Contact Data and (as well as EU Customer Data) from loss, misuse, unauthorized access, disclosure, alteration, or destruction, and maintains reasonable procedures to help ensure that such data is reliable for its intended use, accurate, complete, and current.
Individuals may contact the RR Donnelley Safe Harbor Privacy Contact identified below to review EU Business Contact Data held about them. RR Donnelly reserves the right to take reasonable steps to authenticate the identity of any such individual seeking access to EU Business Contact Data.
RR Donnelley may disclose EU Business Contact Data as necessary in connection with the sale or transfer of all or part of its business, where required or permitted by law, where RR Donnelley believes that such disclosures are appropriate in connection with a law enforcement request or otherwise permitted by Safe Harbor, or in order to investigate, prevent or take action regarding illegal activities or suspected fraud or enforce or apply RR Donnelley agreements.
Data Processor Activities
With respect to EU Customer Data, RR Donnelley operates as a mere data processor for its customers located in the EU, and its customers remain the data controllers with respect to such information. RR Donnelley therefore acts in accordance with the instructions of such customers regarding the collection, processing and transfer of EU Customer Data, the provision of access to and rectification of EU Customer Data, and other matters.
